Dear co-op owner and prospective board of directors candidate,
We are thrilled you want to run for the Viroqua Food Co+op Board of Directors. Below, you will find information to guide you through the process. If you have questions, contact the current directors here.
Two of the seven board seats are open for this year’s election. Each term is three years, and terms are staggered to add continuity to board operations.
To help you understand how our board operates, we require that all candidates attend an upcoming board meeting. Board meetings are currently held on the third Monday of each month at 6:30pm and may be via Zoom or in person at the co-op. Upcoming meetings are Monday, June 17th and Monday, August 19th. Once you decide which meeting you would like to attend, you can contact the board at least five days before to get a Zoom link or instructions on where to attend.

BACKGROUND AND INSTRUCTIONS
Thank you for your interest in becoming a director! Serving on the board is a rewarding experience as it offers directors an
opportunity to participate in their consumer-owned food co-op in a meaningful way. It is also a great way to learn more
about the co-op’s community impact while playing a key leadership role in ensuring that we thrive for many years to come. We
recommend following these two steps to better acquaint you with the board’s work and to understand the application process
that will be conducted.
STEP 1: Learn more about the board and its system of governing.
The information below will provide basic information regarding the board’s work and system of governance. If you would like
additional information, you are encouraged to contact our board members. Learning more about the board will help
you decide what level of commitment is necessary and whether this will be a productive and rewarding experience.

STEP 2: Complete and Submit the Application Form.
We’d like to know more about you and your skills and how your skills would enhance your ability to be an effective director.
The deadline for applying is June 30, 2024.
POLICY GOVERNANCE
The board uses the Policy Governance model to organize its efforts. This governance structure requires the board to create
policies that define the roles and responsibilities of the General Manager and the purpose, mission and strategies of the
organization.
This system requires attention and practice. As the directors become more efficient at utilizing this system, it frees the board
to better use its time toward big picture issues – like what the ownership wants and how to make that happen responsibly.
Individual directors do not direct the operation of the store, supervise staff members, or speak for the cooperative as a whole,
except when the board has authorized a director as a spokesperson.
The Board will govern in a way that:
• Emphasizes future vision (more than past or present).
• Emphasizes initiative and strategic leadership (not operational detail).
• Provides clear distinctions of board and management roles.
• Deliberates with many voices but governs with one voice.
BOARD STRUCTURE AND RESPONSIBILITIES
The Viroqua Food Co+op is governed by a board of directors that is elected from and by member-owners of the co-op.
The board is directly accountable to the ownership for the activities and accomplishments of the cooperative.
Specifically, it is responsible for:
• Interacting with owners to understand their needs, values and visions for the Viroqua Food Co+op.
• Developing, monitoring and revising policies that guide the General Manager and board to achieve outcomes
consistent with our owners’ values and vision.
• Ensuring, through consistent monitoring mechanisms, that management achieves the goals set by the board and that the
board operates according to its established processes.
The board fulfills its responsibilities through a system of governance called Policy Governance, as originally developed by John Carver.

ELIGIBILITY AND EXPECTATIONS
Eligibility, expectations and qualifications of board membership include:
• Being an owner in good standing, meaning memership must be paid in full and in applicant’s name.
• Must be at least 18 years of age by June 30, 2024.
• Stating all potential conflicts of interest on application and not having an overriding conflict of interest.
• A commitment to the board for the length of your term.
• Familiarity with and adherence to the Viroqua Food Co+op’s Bylaws, Policy Governance and Code of Conduct.
• Preparation for and active participation in monthly board meetings.
• Attendance at board training sessions and the Annual Owner Meeting.
• Ability to understand financial statements with training.
• Access to the internet and availability to respond to frequent board work-related online communications.
• A willingness to take responsibility for board duties and to work together with understanding, mutual support and respect.
• An ability to keep information and materials confidential.
• Integrity, flexibility and common sense.
• Elected board members who wish to serve undergo a background check.
• Due to our Conflict of Interest Policy, current co-op staff members are not eligible to serve on the board.
DIRECTOR QUALIFICATIONS AND REQUIRED COMMITMENT
The Viroqua Food Co+op is seeking board candidates who are:
• Interested in learning about and supporting cooperative values and principles.
• Willing to participate actively in discussions.
• Good at working in a team environment that prefers to make decisions by consensus.
• Willing to delegate areas of decision making to others and hold them accountable for results.
• Willing to set aside any personal agendas to honor the diversity of owner perspectives.
• Willing to take on a “servant-leader” role and serve The Viroqua Food Co+op through active engagement.
Without question, governing an organization effectively is a serious commitment. Board members prepare for and actively
participate in board meetings and stay engaged between board meetings, owner events and occasional training sessions. The
board is a team, sharing responsibilities in a way to make its work a manageable part of members-owners’ lives. The term of a
director is three years.
COMPENSATION
Per Bylaw section 4.8: Directors shall be compensated by a $150 per month VFC gift card. The Vice President shall receive a $175
per month VFC gift card. The President shall receive a $200 per month VFC gift card.
WHAT TO EXPECT WHILE SERVING ON THE BOARD
• Meetings are currently held on the third Monday of each month at 6:30 pm either at the VFC or via Zoom. There are no July
or December meetings.
• Directors must check their email at least twice weekly and respond to board electronic communications. This is done
daily the few days leading up to a meeting.
• New directors attend a one-day orientation.
• All directors attend an annual board retreat that is typically one day.
• Attendance at owner events is expected.
• Preparation includes a full review of all materials before the meeting.
Below is an example of the time you can expect to spend in a given month:
Meeting preparation – about 2 hours
Monthly board meeting – 1.5 to 2 hours
Committee work – 0 to 1 hour
Misc. (writing for newsletters, email communication, professional development, tabling at owner events, retreat
preparation)
= Total hours of work: 5-10 hours monthly
